Our advice in this area is aimed at optimizing the results of the transaction based on the applicable corporate and tax legislation, taking into account the legal structure of the company and/or asset being sold or acquired, the available sources of financing, existing tax, labor, and legal risks or contingencies, any applicable special regimes (for example, international treaties or tax incentives for certain activities), and, in general, all legal aspects relevant to the successful closing of the transaction.
For these purposes, we have a team of expert professionals to assist and advise the client at the different stages of a merger or acquisition process, such as the review of tax, labor, and legal contingencies (Due Diligence), the negotiation and closing of binding agreements, asset and/or share purchase agreements, the implementation of post-closing restructurings, and the negotiation and drafting of shareholders’ agreements, among other matters.
Restructurings
The legal restructuring of a business or company may respond to different needs: the integration or separation of businesses, a change in control structure, the incorporation of new partners, the refinancing of liabilities, among others. In this area, we have an interdisciplinary team of attorneys and accountants that allows us to assist the client in evaluating the need for and effects of a restructuring, and in its accounting, tax, and legal implementation.
Investment Funds
The legal and tax treatment of investment funds has undergone significant changes in recent years. This makes it necessary to carry out a detailed study of the manner in which investments channeled and financed through investment funds will be legally structured, in order to access the benefits established by current legislation for the fund and its investors.
In this area, we have participated in the formation of funds, placement of fund units, acquisition of assets, and financing of investment funds intended for businesses and projects in various sectors, experience that allows us to create the optimal structure according to the client’s needs.
